BAL Foundry - Terms and Conditions

These Website Terms and Conditions define the conditions governing access to and use of the website www.bal-foundry.com (the “Website”) and the purchase of Products and Digital Materials made available through it.
They apply to any person or entity accessing the Website or placing an Order through it.
The licensing, installation, download and use of Font Software distributed through the Website are governed exclusively by the BAL Foundry End User License Agreement (EULA) available at www.bal-foundry.com/eula.
The EULA defines the conditions under which Font Software may be licensed and used. In the event of any inconsistency relating to the licensing or permitted use of Font Software, the EULA shall prevail.
Access to the Website and placement of an Order constitute acceptance of these Terms and Conditions. Where an Order concerns Font Software, the Client also acknowledges having read and accepted the applicable EULA.
For the purposes of these Terms and Conditions:
(1) ‘Website’ means the website accessible at www.bal-foundry.com, including its informational pages, shop interface, checkout systems, account areas and download services.
(2) ‘Client’ means any natural person or legal entity placing an Order through the Website, whether acting in a professional capacity or as a Consumer.
(3) ‘Consumer’ means a natural person acting for purposes outside their trade, business, craft or profession, as defined under applicable consumer protection law.
(4) ‘Products’ means physical goods offered for sale through the Website, including printed typographic specimens, publications and other merchandise.
(5) ‘Digital Materials’ means downloadable digital files made available through the Website, including Font Software, specimen PDFs, digital publications and other typographic resources.
(6) ‘Font Software’ means digital typeface software, font programs, font data and related files developed, published or distributed by BAL Foundry and licensed under the BAL Foundry End User License Agreement.
(7) ‘Order’ means any purchase confirmed through the Website.
(8) ‘Invoice’ means the commercial document or digital purchase record issued by BAL Foundry identifying the Products or Digital Materials purchased and, where applicable, the licensed Font Software and associated licensing parameters.
The Website is published by BAL Foundry (www.bal-foundry.com), a trade name and creative division operated by Guillaume Sbalchiero, Entrepreneur Individuel (E.I.), registered in France under SIRET number: 833 182 579 00 031 / VAT ID: FR48 833 182 579 / Vendor ID: BAL / Registered office at 21 rue Frédérick Lemaître, 75020 Paris, France.
BAL Foundry is the name under which typographic works, Font Software, publications and related typographic materials are created, distributed and licensed through the Website.

These Terms and Conditions apply exclusively to Products and Digital Materials made available through the Website and to Orders placed through it.
They define the contractual relationship between BAL Foundry and the Client concerning purchases made through the Website.
Information presented on the Website relating to typographic research, collaborations, typographic projects, commissioned work or other creative activities is provided for informational purposes only and does not constitute a contractual offer of services.
Professional services such as graphic design, consulting or custom typeface development may be carried out under separate agreements concluded directly between BAL Foundry and the relevant client.
These Terms and Conditions apply without restriction or reservation to all purchases made through the Website and shall prevail over any other terms that may be invoked by the Client unless expressly agreed otherwise in writing.
Orders are placed through the Website by selecting Products or Digital Materials and confirming the purchase through the checkout process.
Before confirming an Order, the Client may review the selected items, the applicable price, taxes where applicable and delivery costs where relevant and may identify and correct any input errors.
The Client is responsible for the accuracy of the information provided during the ordering process.
When an Order is placed on behalf of a legal entity, the person placing the Order declares having the authority to legally bind that entity.
The Client confirms having the legal capacity to enter into a binding contract.
The contract is deemed concluded once payment has been successfully processed and the Order confirmation has been issued.
Electronic records maintained by BAL Foundry, including order confirmations, invoices and transaction logs, shall be considered valid evidence of transactions between the parties.
BAL Foundry reserves the right to refuse, suspend or cancel an Order in the event of manifest pricing errors, technical malfunction affecting the transaction, suspected fraudulent activity, non-payment or payment incident relating to a previous Order.
Prices displayed on the Website are indicated in euros unless stated otherwise.
Applicable taxes, including value added tax (VAT), are calculated during checkout according to the billing information provided by the Client and applicable tax regulations.
Payments are processed through secure third-party payment service providers, including Stripe. Payment credentials and payment card information are processed directly by the payment provider and are not stored by BAL Foundry.
Payment is due in full at the time of purchase unless otherwise expressly agreed.
BAL Foundry reserves the right to modify prices at any time without affecting Orders that have already been confirmed.
Digital Materials purchased through the Website are delivered electronically once payment has been confirmed.
Delivery of Digital Materials shall be deemed completed once the files are made available for download through the Website, the Client account or a secure download link.
The Client is responsible for downloading and securely storing the delivered Digital Materials.
BAL Foundry does not guarantee permanent availability of download links, hosted files or client accounts and recommends that Clients download and archive delivered Digital Materials promptly after purchase.
Physical Products are shipped to the delivery address provided during checkout.
Delivery times depend on the shipping provider and are provided for indicative purposes only.
Upon receipt of physical Products, the Client should verify their condition and notify BAL Foundry without undue delay of any damage, defect or delivery anomaly.
Risk relating to physical Products passes to the Client upon delivery, without prejudice to mandatory legal provisions applicable to Consumers.
Ownership of the Products transfers to the Client upon full payment of the price.
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to digital content supplied without a material medium once performance has begun with the Consumer’s prior express consent and acknowledgement that the right of withdrawal is waived.
Font Software licenses and other downloadable Digital Materials are therefore non-refundable once delivery has begun.
Consumers purchasing physical Products through the Website may exercise their legal right of withdrawal within fourteen (14) days following delivery.
Returned Products must be sent back in their original condition and packaging.
Refunds will be processed within fourteen (14) days from the date on which BAL Foundry is informed of the Consumer’s decision to withdraw.
Consumers benefit from the legal guarantees provided under French law.
BAL Foundry remains liable for the legal guarantee of conformity under Articles L217-3 and following of the French Consumer Code and for the legal guarantee against hidden defects under Articles 1641 and following of the French Civil Code.
These guarantees apply independently of any commercial warranty that may be granted.
Nothing in these Terms and Conditions limits or excludes the mandatory rights granted to Consumers under applicable consumer protection law.
All intellectual property rights relating to the Website and its content remain the exclusive property of BAL Foundry or, where applicable, of the relevant rights holders.
This includes typographic works, Font Software, publications, visual materials, previews, specimen files, downloadable files, texts, images and other digital resources made available through the Website.
Except for the limited rights expressly granted under the applicable contractual documents, no rights, title or interest in the intellectual property of BAL Foundry are transferred to the Client.
Access to previews, specimens, visual demonstrations or other materials displayed on the Website does not grant any right to reproduce, extract, convert, reverse engineer or reuse the underlying Font Software.
Nothing in these Terms shall be interpreted as granting any right to use the trademarks, trade names or brand identity of BAL Foundry without prior written authorization.
Font Software made available through the Website is licensed and not sold. The scope of permitted use of the Font Software is defined exclusively by the applicable End User License Agreement (EULA).
Personal data collected through the Website is processed in accordance with the BAL Foundry Privacy Policy available at www.bal-foundry.com/privacy-policy.
The Website and its content are provided for informational and commercial purposes relating to the activities of BAL Foundry.
Users agree to access and use the Website in accordance with applicable laws and these Terms and Conditions.
Users shall not misuse the Website or attempt to interfere with its proper functioning.
Automated extraction of content, including scraping, data mining, indexing or systematic downloading of materials from the Website, is prohibited without prior written authorization.
The use of Website content, typographic works, previews, specimen files or any related materials for the purpose of training, developing or improving machine learning or artificial intelligence systems is prohibited unless expressly authorised by BAL Foundry.
Users shall not attempt to circumvent any technical protection measures implemented on the Website.
BAL Foundry may update, modify or remove any part of the Website or its content at any time without prior notice.
BAL Foundry makes reasonable efforts to ensure the availability and proper functioning of the Website.
Access to the Website may occasionally be interrupted due to maintenance operations, technical updates, hosting infrastructure issues, security interventions or interruptions affecting third-party services.
BAL Foundry makes reasonable efforts to ensure that information presented on the Website is accurate and up to date. However, typographical errors, technical inaccuracies or temporary inconsistencies may occasionally occur.
BAL Foundry reserves the right to correct such errors and update information at any time.
BAL Foundry shall be liable only for direct damages resulting from proven fault.
To the extent permitted by applicable law, BAL Foundry shall not be liable for indirect, incidental or consequential damages resulting from the use of the Website or the purchase of Products or Digital Materials.
Nothing in these Terms and Conditions excludes or limits liability that cannot be excluded or limited under applicable law.
BAL Foundry shall not be held liable for failure or delay in the performance of its obligations resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, governmental actions, administrative measures, war, pandemic, civil unrest, labour disputes, internet outages, hosting failures, cyberattacks, or interruptions of payment or distribution platforms or any event commonly recognised as force majeure under French law.
In accordance with Article L612-1 of the French Consumer Code, Consumers have the right to resort free of charge to a consumer mediation service in the event of a dispute.
BAL Foundry adheres to the following consumer mediation service: CM2C – Centre de la Médiation de la Consommation de Conciliateurs de Justice (www.cm2c.net).
The consumer acknowledges having been informed, prior to placing an Order and concluding the contract, in a clear and comprehensible manner, of the essential characteristics of the Products and Digital Materials, their price, any applicable taxes and delivery costs, the payment and delivery arrangements, the existence or absence of the right of withdrawal according to the nature of the Product or Digital Material ordered, the existence of legal guarantees where applicable, and the possibility of recourse to consumer mediation in the event of a dispute. The consumer declares having read and accepted these terms and conditions. The consumer will have the option to save and print the terms and conditions
These Terms and Conditions are governed by French law.
Any dispute arising from their interpretation or application shall fall under the jurisdiction of the competent courts of Paris, France, subject to mandatory consumer protection provisions.
If any provision of these Terms and Conditions is held to be invalid or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.
These Terms and Conditions, together with the applicable EULA, the Invoice and the Privacy Policy, constitute the entire agreement between BAL Foundry and the Client regarding the purchase and licensing of Products and Digital Materials through the Website.
In the event of any inconsistency between these documents, the EULA shall prevail with respect to the licensing and use of Font Software.
Each version of these Terms and Conditions is identified by a version number and publication date indicated at the beginning of this document. The version applicable to a purchase is the version in force on the Website at the time the Order is placed.
This form below must be completed and returned only if the Consumer wishes to withdraw from the order of a physical Product placed on BAL Foundry, except for exclusions or limitations to the exercise of the right of withdrawal according to the applicable Terms and Conditions. This form does not apply to the licensing of Font Software or to any Digital Materials supplied without a material medium once delivery has begun.
The withdrawal request may be sent by e-mail mentioning “Right of withdrawal” to info@bal-foundry.com, or by postal mail sent to BAL Foundry — 21 rue Frédérick Lemaître, 75020 Paris, France.
